According to company law and the relevant articles of company bylaws, the board of directors 

was held on June 25, 2014. All directors attended the meeting, had unanimously agreed on the 

following decisions:

1. Liu Changlu was elected as chairman of the company, Zhou Zhengming served as vice chairwoman. 

2. Liu Changlu is legal representative of Hangzhou Jianghe Hydro-Electric Science & Technology Co., Ltd.

3. Jie Jian’an stepped down as legal representative and chairman.
